Meridian Business Solutions, LLC dba Meritrain ("Meritrain") maintains this website, any courses offered and other linked and related sites (the “Site”) for the use of its customers, vendors, students, and other Site users (“Users”) upon agreement to the following terms. Please read the terms carefully before using the Site. Use of this website indicates acceptance of these “Terms of Use” and forms a binding agreement between you and Meridian Business Solutions, LLC. If you do not agree to these terms, do not use this Site.
1. Use of Site
Meritrain provides various materials, information, quizzes, tests, questions, articles, news and other information on this and related sites and in courses offered through this site (the “Materials”). Users may not modify the Materials at this Site in any way or reproduce, share or distribute them. Users will keep all Materials confidential, and will not sell, auction, loan, rent, give away, describe, summarize, or otherwise reveal the Materials or their contents, to any other person or entity. Any breach of these Terms of Use automatically terminates your authorized use of the Site.
2. User Warranty
As a User you warrant that you are not an agent or employee of any other compliance training company and will use the Site and Materials solely for the purpose of training.
3. Billing
Meritrain offers a paid Service. Pricing will be based on the billing information you provide us at the time of purchase. If you are on a group plan, the group or business will be billed for and is responsible for payment of subscription fees.
a. Subscriptions and Renewals. If you are subscribing to an individual plan, you will receive a 1 (one) year subscription for a single user. If you are subscribing to a group plan, you will receive a 1 (one) year subscription for a specific number of Users. You can elect to make 1 (one) annual payment, 12 (twelve) monthly payments, or 4 (four) quarterly payments. You can cancel your subscription at any time. If you cancel your subscription, you will not receive a refund or credit for any amounts that have already been billed, and any subscription fees for the remaining term of your subscription will remain payable as agreed.
b. Pricing for Additional Users. If you are on a group plan, you will be billed when you enroll additional Users through the unique sign-up portal for your group or you provide a list of new Users to be uploaded by Meritrain. Any additional subscriptions will be billed on your next Billing Date (as defined below) unless accounts are removed by you or an Administrator prior to the Billing Date. Three (3) days prior to the Billing Date, Meritrain will notify via email the billing contact associated with your business account of the number of additional Users and the associated subscription fees. The applicable “Billing Date” is as follows: (i) if you are on a monthly installment plan, the date of your next monthly payment; (ii) if you are on a single payment plan, every 3 months after the start date of your subscription. Subscription fees for additional Users will be pro-rated in accordance with your existing group pricing. You will not receive a refund or credit for reducing the number of Users during the term of your subscription.
c. Taxes. Your subscription fees are inclusive of all taxes unless otherwise specified in an agreement with Meritrain or on an applicable invoice. Tax rates are calculated based on the billing information you provide and the applicable tax rate at the time of your subscription charge.
d. Cancellation. You can stop using the service and/or cancel your subscription at any time via your account settings. If you cancel your subscription you will not be entitled to a refund of any fees already paid and any outstanding fees under a subscription payment plan will remain due and payable as agreed and scheduled.
e. Free Trials and Demos. Meritrain may offer you a free trial or demo to allow you to try our Service. Meritrain reserves the right to set eligibility requirements and the duration for free trials and demos.
If you have access to a free trial or demo, your access to the Service will cease if you do not enter into a paid subscription prior to the end of the pilot or demo period.
4. Trademark and Copyright
Meritrain and certain other brands, trademarks, and service marks are marks of Meridian Business Solutions, LLC and its affiliates. The Materials at this Site are copyrighted, and any unauthorized use of any Materials may violate copyright, trademark, and other laws.
5. Hyperlinks
Links to external websites are provided solely as a convenience to you. Meritrain has not reviewed all of these external websites, does not control and is not responsible for any of these sites or their content. If you decide to access any of the external websites linked to at this Site, you do so entirely at your own risk.
6. No Warranty
The Materials provided at this Site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. Meritain further does not warrant the accuracy and completeness of the Materials. Meritrain may make changes to the Materials or Site, or to the services and prices described in them, at any time without notice. The Materials may be out of date.
7. Not Legal Advice
The Materials provided at this Site do not, and are not intended to, constitute legal advice. Users should contact their attorney to obtain advice with respect to any particular legal matter. Use of, and access to, the Materials or any of the links or resources contained within this Site do not create an attorney-client relationship between the User and Meritrain, its employees, authors, contributors, or contributing law firms to this Site.
8. Limitation of Liability

9. Term and Termination
a. Term. These Terms of Use shall take effect when you enroll in a Meritrain subscription and shall continue in full force and effect until the expiration or termination of your subscription.
b. Violations. If Meritrain, in its sole discretion, determines that you violate any portion of these Terms of Use, the Privacy Policy or any other agreement with Meritrain, may suspend your access to all Materials.
c. Effect of Termination. In the event of termination of your subscription for cause due to default by Meritrain, Meritrain shall refund, on a prorated basis, any prepaid fees for the Service for the period beginning on the effective date of termination through the end of your subscription. In the event of a termination of your subscription to a violation by you, you will not receive any refund and shall immediately pay any outstanding fees for the remaining period of your subscription.
Upon any expiration or termination of your subscription, you must cease accessing all Materials.
10. Other Agreements
In the event of conflicting terms, any written agreement between User or User's group, employer, or entity and Site supersedes these Terms of Use.
11. Governing and Applicable Law
You agree to abide by all applicable local, state, national and foreign laws, treaties and regulations, in connection with your access to Meritrain’s Materials. Meritrain agrees to abide by all applicable local, state, national and foreign laws, treaties and regulations, in connection with its provision of access to its Materials.
The Terms of Use are governed by the laws of the Missouri. Failure to enforce strict performance of the Terms of Use shall not be construed as a waiver of any provision or right. Meridian Business Solutions, LLC may assign its rights and duties under the Terms of Use without notice to any party at any time.
